Our services are designed to facilitate secure electronic payments between merchants and their customers in compliance with applicable financial regulations.

Eligibility and Account Registration

To use our services, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Have the legal capacity to enter into binding agreements
  • Operate a legitimate business or provide lawful services
  • Provide accurate, complete, and current information during registration
  • Comply with all applicable laws and regulations in your jurisdiction

User Obligations

When using our services, you agree to:

  • Provide accurate and truthful information about your business and transactions
  • Maintain the security of your account credentials and notify us immediately of any unauthorised access
  • Comply with all applicable payment card industry standards and regulations
  • Use our services only for legitimate business purposes
  • Not engage in fraudulent, illegal, or prohibited activities
  • Cooperate with our compliance and risk management procedures
  • Maintain adequate records of transactions as required by law

Prohibited Activities

You may not use our services for:

  • Illegal activities or transactions prohibited by law

  • Activities that violate payment network rules

Fees and Payments

Our fees are outlined in your service agreement and may include transaction fees, monthly fees, and other charges as applicable. Fees are subject to change with reasonable notice. You authorise us to deduct fees from your account balance or charge your designated payment method. All fees are non-refundable unless otherwise specified.

Intellectual Property

All content, software, technology, and materials provided as part of our services are the intellectual property of Veytor or our licensors. You are granted a limited, non-exclusive, non-transferable licence to use our services for their intended purpose. You may not copy, modify, distribute, or create derivative works based on our proprietary technology without our express written permission.

Data Protection and Privacy

We are committed to protecting your personal data and privacy. Our collection, use, and protection of personal information is governed by our Privacy Policy, which forms an integral part of these Terms. By using our services, you consent to the processing of your data as described in our Privacy Policy and in accordance with applicable data protection laws.

Limitation of Liability

To the maximum extent permitted by law, Veytor shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. Our total liability for any claim arising from or relating to our services shall not exceed the fees paid by you to Veytor in the twelve months preceding the claim. This limitation applies regardless of the legal theory on which the claim is based.

Indemnification

You agree to indemnify, defend, and hold harmless Veytor, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

Service Availability

While we strive to maintain high service availability, we do not guarantee uninterrupted access to our services. We may temporarily suspend or restrict access for maintenance, security, or other operational reasons. We shall not be liable for any damages resulting from service interruptions or unavailability.

Termination

Either party may terminate this agreement with reasonable notice. We may immediately suspend or terminate your access to our services if you violate these Terms, engage in prohibited activities, or if required by law or payment network rules. Upon termination, your right to use our services ceases immediately, and we may retain certain information as required by law or for legitimate business purposes.

Governing Law

These Terms are governed by and construed in accordance with the laws of Ireland. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the Irish courts. If you are a consumer resident in the European Union, you may also have the right to bring proceedings in the courts of your country of residence.

Dispute Resolution

We encourage the resolution of disputes through direct communication. If a dispute cannot be resolved informally, it may be submitted to mediation or arbitration as agreed by the parties. Nothing in these Terms shall prevent either party from seeking injunctive relief in court for the protection of intellectual property rights or confidential information.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, or government actions. Performance shall be suspended only for the duration of such circumstances.

Modifications to Terms

We may modify these Terms from time to time to reflect changes in our services, legal requirements, or business practices. We will provide reasonable notice of material changes through our website or by email. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.
